These Terms & Conditions (“Agreement”) govern the use of services provided by Kharakwal Media (“Company,” “we,” “our,” or “us”). By engaging with our services, you (“Client,” “you,” or “your”) agree to comply with the terms set forth below.
1. Services Offered
We provide professional Digital Marketing Services including but not limited to:
- Social Media Marketing (SMM)
- Search Engine Optimization (SEO)
- Social Media Optimization (SMO)
- Pay-Per-Click Advertising (PPC/Google Ads/Meta Ads)
- Email Marketing
- Branding & Logo Design
- Web Design & Development
2. Client Responsibilities
- Client must provide accurate and complete information required for campaign execution.
- Any delay from client’s side (approvals, payments, providing materials) may result in project delays.
- Client shall not misuse or resell services without company consent.
3. Payment Terms
- All payments must be made in advance or as per agreed milestones.
- Late payments may attract penalty charges or suspension of services.
- Prices may vary depending on service customization, but remain non-negotiable once agreed.
4. Refund & Cancellation Policy
- Once a project is initiated, no refunds shall be issued.
- In case of premature cancellation by the client, full payment for the current billing cycle will be charged.
- Refunds are only applicable if company fails to deliver agreed services as per contract.
5. Deliverables & Timelines
- Company will provide deliverables as per mutually agreed timeline.
- Delays caused by third-party platforms (Google, Meta, hosting providers, etc.) are beyond our control.
6. Confidentiality
- All client data, campaign details, and business information will be kept strictly confidential.
- Company will not disclose client information to any third party except when required for service execution.
7. Disclaimer & Limitation of Liability
- Company does not guarantee specific rankings, followers, or sales; results may vary depending on external factors.
- Under no circumstances shall Kharakwal Media be held liable for loss of profits, business interruptions, or indirect damages.
- Client acknowledges that digital marketing is subject to changing algorithms, competition, and third-party policies.
8. Indemnity
The client agrees to indemnify and hold harmless Kharakwal Media, its employees, and associates from any claims, damages, liabilities, or expenses arising due to misuse of services or violation of these terms.
(This clause is supported under Section 124 & 125 of the Indian Contract Act, 1872 regarding contracts of indemnity.)
9. Governing Law & Jurisdiction
These Terms shall be governed by and construed under the provisions of the Indian Contract Act, 1872 and applicable Indian laws.
Any disputes shall fall under the exclusive jurisdiction of the courts of Ghaziabad, Uttar Pradesh, India.
